GOVERNANCE
Stronger Board Governance for Stronger Nonprofit Leadership
There are clear governing duties for which boards are responsible, but how those are executed must evolve as organizations grow and change. When boards and executive leaders share a clear understanding of their roles and clear systems for how board members can engage and provide oversight, organizations make better decisions, navigate challenges more effectively, and stay focused on their mission. Heightened Development helps nonprofit boards increase their impact and develop a more optimal relationship with the executive leader.
Is Your Board Helping Move the Mission Forward- or Just Attending Meetings?
As a board member, are you showing up regularly for meetings but unsure how to help support the organization with goals in between meetings? Or, are you an Executive leader who spends time on advance reports to your board, but you aren’t sure they are read and don’t feel like you are utilizing the board effectively?
Maybe some of these things are true for you:
✔ Board meetings focus more on reports than strategy.
✔ Board members have different expectations of their role.
✔ Governance responsibilities have become blurred with operations.
✔ Recruiting and engaging board members feels increasingly difficult.
✔ The Executive Director feels like they’re carrying too much alone.
If any of these sound familiar, you’re not alone. Governance challenges are among the most common issues nonprofit leaders face.
Why Governance Challenges are So Common
Our founder, Chamlee McGuire, says she once had a funder ask her if she thought the nonprofit governance model was broken. She said, “Does it really make sense for volunteers who don’t really know an industry to provide oversight of the organization?”
Nonprofit board governance comes with some challenges. Everyone is busy, and sometimes volunteer work can feel like the optional part of the day. But there are true legal obligations that a nonprofit board of directors has, and strategic and fiduciary oversight are two of them. Can leaders who are often from other industries provide that oversight well? We argue, yes, they can. With the right board and executive relationship, the right flow of information, and the right board composition, it can be a very meaningful and effective engagement for all.
Yet, struggles with board governance are common because nonprofits tackle complex issues and must constantly evolve. Boards must evolve as well, and there are often not effective processes in place to make sure that committees continue on their goals and cadence year after year, that board recruitment doesn’t fall on the Executive Director/CEO, or that checks and balances exist to make sure the board engages where they should but doesn’t dive too much into operations.
Strong governance doesn’t happen accidentally. It develops intentionally over time.
Our Approach to Board Governance
Board governance should do more than check boxes. The real goal is to help boards lead with greater clarity, stronger partnership, and the capacity to move the organization forward. This looks different for each organization, depending upon your stage of development, size, and strengths and weaknesses.
Heightened Development will help you clarify what is going well, what could go better, and walk alongside you to build out processes that create greater engagement, oversight, and succession planning.
Our goal in every engagement is to work toward role clarity, to strengthen partnership, and focus on the strategic role of a nonprofit board of directors.
Governance Should Create Clarity
Many boards are trying to help, but they are doing so without a shared understanding of what the board owns and what it does not. Heightened Development can help you understand your responsibilities for strategy, oversight, financial accountability, and executive support, and build clear systems to perform these functions.
When governance is clear, meetings become more engaging and strategic.
Governance Should Strengthen Partnership
Strong governance depends on a healthy partnership between the board and the Executive Director.
This relationship is one of the most important in the organization, and it is often one of the most strained. Boards may overstep into operational decisions. Executive Directors may carry too much alone, and may fail to share enough of the information boards need to make good decisions.
We help boards and executives build a partnership rooted in trust, role clarity, and communication. When this partnership is strong, the organization has more stability, better decision-making, and a healthier foundation for growth.
Governance Should Focus on Strategy
Boards add the most value when they stay focused on strategy rather than getting pulled into operations.
That does not mean the board ignores what is happening inside the organization. It means the board keeps its attention on the bigger questions. Where are we going? What matters most right now? What risks need oversight? What choices will strengthen mission impact over time?
A strategic board helps the organization make better choices. It does not just monitor activity. It helps shape direction.
Governance Should Build Capacity
A healthy board increases organizational effectiveness. It supports stronger leadership. It improves accountability. It helps an organization navigate growth, transition, and uncertainty with more confidence.
We help organizations strengthen governance in ways that build long-term capacity. That may include clarifying board roles, strengthening the board chair, improving recruitment and onboarding, increasing engagement between meetings, or creating more productive board and committee structures.
With the right process, boards can become more focused, more engaged, and more effective in the work they are meant to lead.

Sample Client Story
One example is Benjamin E. Mays Family Center, where Heightened Development partnered with the organization in its early stages to build the foundation for strong governance from the start. The work included recruiting and training the initial board, helping board members understand the role of governance, building committee structures, and guiding the board in identifying the qualities and competencies needed in its first Executive Director.
That early governance work helped create a board that was not just present, but prepared. Today, the board is engaged in strategic oversight, fundraising, and fiscal stewardship, and the partnership between the board and Executive Director has helped support the organization’s growth over time.
This is what strong governance can do. It creates the structure, clarity, and leadership capacity an organization needs to grow with confidence.
Frequently Asked Questions
Do you provide Board Governance 101 training?
Yes. We offer customized board governance training for nonprofit boards, covering core responsibilities, fiduciary duties, strategic leadership, fundraising expectations, meeting effectiveness, and the board’s role in supporting a healthy organizational culture. Sessions are tailored to your organization’s stage, challenges, and goals.
How do you help boards become more engaged?
Board engagement often reflects clarity, culture, and structure more than individual commitment. We help boards clarify expectations, strengthen committee work, improve meetings, align board members with meaningful roles, and create opportunities for more strategic and generative conversations. The goal is clear processes through the year, including for committee work, as well as ensuring that meetings and processes add greater value and impact for board service.
Can you help if there is tension between the board and executive director?
Yes. Healthy board-executive relationships are built on trust, clear roles, open communication, and shared expectations. We work with board and staff leaders to clarify roles and expectations, provide training, and, when needed, facilitate conversations that help leaders address challenges constructively, clarify responsibilities, and strengthen the partnership needed to move the organization forward.
Do you conduct board assessments?
Yes, and you might be surprised how helpful a simple assessment can be. A board survey and a few leadership one-to-one conversations can be very effective in helping you think through how to strengthen your board. We have tools to help boards self-assess how they are doing against governance best practices, and to help boards reflect and identify the characteristics/skills of their current board while noting skills gaps that are needed. These tools work together to identify your current governance culture, strengths and weaknesses, and where you need to evolve your board recruitment and onboarding processes. Heightened Development always provides a written assessment of the data gathered, with practical steps to improve board effectiveness, engagement, communication, and strategic leadership.
How does board governance connect to organizational culture?
Boards shape culture through the questions they ask, the behaviors they model, and the priorities they reinforce. Strong governance creates an environment of trust, accountability, learning, and psychological safety that influences the entire organization. We help boards understand their role as stewards not only of mission and finances, but also of organizational culture.
Can governance work be combined with strategic planning?
Absolutely. Effective governance and strategic planning go hand in hand. Many organizations use strategic planning as an opportunity to assess where the board is, and to improve certain decision-making processes. If you need support building out your board processes or taking action on steps recommended in the assessment, this is usually an additional service beyond typical strategic planning.
What types of organizations do you work with?
We work primarily with nonprofit organizations, foundations, early childhood organizations, associations, and community-based organizations across the Carolinas and Georgia. Our approach is informed by decades of nonprofit leadership experience and a deep understanding of the unique challenges nonprofit boards and executive leaders face.
What makes your approach different?
Our work is grounded in firsthand nonprofit leadership experience. We have sat where executive directors and board leaders sit and understand the realities behind the decisions they make. We approach governance as a collaborative partner, helping boards move beyond compliance to become strategic, engaged, and effective leaders in advancing their mission.
Do you offer ongoing governance coaching or support after training?
Yes. Some organizations benefit from continued coaching, board retreat facilitation, or implementation support following an assessment or training.
